The Selling Price of the Product is subject to change without notice prior to the purchase of the Product by the Buyer. The Selling Price is provided on the Website on 'as is' basis as provided by the LOTUS DAIRY. Due to technical reasons there may be errors in Selling Price which may be corrected by the Seller at any time and any acceptance of offer of sale by the Buyer of the Products subject to such faulty Selling Price shall, subject to discretion of the LOTUS DAIRY, not be a valid acceptance and such transaction can be avoided by the LOTUS DAIRY.

Delivery of the Product

4.1
There are various delivery models for delivery of purchased Product to the Buyer, as decided by the Seller. The risk of any damage, loss or deterioration of the Products during the course or delivery or during transit shall be on the THIRD PARTY and not on the LOTUS DAIRY. LOTUS DAIRY represent and warrant that the Products being delivered are not faulty and are exactly those Products which are listed and advertised by LOTUS DAIRY on the Website and purchased by the Buyer and meet all descriptions and specifications as provided on the Website.

4.2
Buyer's shipping address, pin code will be verified with the database of Website before a Buyer proceed to pay for Buyer's purchase. In the event Buyer's order is not serviceable by logistic service providers or the delivery address is not located in an area that is covered under the order confirmation form, Buyer may provide an alternate shipping address on which the Product can be delivered by the logistics service provider or by the LOTUS DAIRY.

Please note that there is no guaranteed dispatch time and any information about the dispatch time is estimate only and should not be relied upon as such. Therefore, time is not the essence of the bi-partite contract between the Buyer and the LOTUS DAIRY for purchase of Product on or through the Website. However, the Product shall not be delivered to the Buyer unless the Buyer makes the payment of the purchase of Product\Service.

4.4
Buyer shall be bound to take delivery of the Products purchased by the Buyer that are said to be in a deliverable state. Where Buyer neglects or refuses to accept the delivery of the Products ordered by the Buyer, the Buyer may be liable to the LOTUS DAIRY for such non-acceptance and shall further be liable for any loss of any fee or charges that LOTUS DAIRY and its third parties shall have earned from the LOTUS DAIRY if such delivery or transaction have been completed. Buyer acknowledges that such damages or loss to Lotus Dairy Products and its third parties are not consequential or indirect.

4.5
The title in the Products and other rights and interest in the Products shall directly pass on to the Buyer from LOTUS DAIRY upon delivery of such Product and upon full payment of price of the Product. Upon delivery, the Buyer is deemed to have accepted the Products. The risk of loss shall pass on to the Buyer upon delivery of Product.

5.
Return Policy for Products

5.1
Buyer's Product related complainant for refund or replacement will be processed in accordance with the LOTUS DAIRY REFUND & REPLACEMENT Policy available at https://www.lotusdairy.com/info/R&R / https://www.sunvillage.in/info/R&R and Buyer agrees to this R&R Policy. However, in the event of false, frivolous or baseless complaints regarding the delivery or quality of the Products, the Buyer will not be eligible for refund or replacement.

5.2
Before accepting delivery of any Product, the Buyer shall reasonably ensure that the Product's packaging is not damaged or tampered.

5.3
The return process of a Product may be subject to additional terms depending on the nature and category of the Product. Any such additional terms may be specified on the Website or be intimated by the LOTUS DAIRY at the time of purchase of the Product.

5.4
In the event the return of a Product is duly accepted by Seller, the value of such Product, as originally paid by Buyer during acceptance of Product, will either be refunded to Buyer either to the bank account provided by the Buyer for such refund, or to the payment instrument of the Buyer from which payment was made, or to any pre-paid payment instrument account of the Buyer. Lotus Dairy Products shall have the sole discretion to determine the mode of reversal from the above options.

Buyer agrees that if the returned Product is not accepted by us, then Lotus Dairy shall have the right to liquidate or sell those Products and give all the valid title, rights and interests including warranties and other collaterals and benefits associated with those Products (as the Buyer would have received from us) to any third party to whom those Products are sold.

Cancellation of transaction / orders

Cancellation by the Buyer: In case of requests for order cancellations, LOTUS DAIRY reserves the right to accept or reject requests for order cancellations for any reason whatsoever. As part of usual business practice. Buyer agrees not to dispute the decision made by LOTUS DAIRY and accept LOTUS DAIRY 's decision regarding the cancellation.

6.2
Set-off of any benefits availed by the Buyer: In case the Buyer has availed any benefit under any marketing or promotions provided by LOTUS DAIRY in relation to the Product for which the order has been cancelled by the Buyer or by the Seller, Buyer agrees and authorizes LOTUS DAIRY to recover such benefits from the or set-off the same from any refunds to the Buyer.

Governing Law

These Terms of Sale shall be governed in accordance with the laws of India without reference to conflict of law principles. You acknowledge that these Terms of Sale are solely for your benefit. It is not for the benefit of any other person, except for your successors and permitted assigns.

Accordingly, the contract for sale of any of the products shall be a bipartite contract between buyer and lotus dairy. Any transactions that buyer may have with such third parties are at buyer's own risk. The products shall be subject to lotus dairy's terms and conditions for warranty, service and maintenance. Lotus dairy also does not accept any responsibility for the usage of the products by the buyer.

Lotus dairy specifically disclaims any liability with regard to any illegal, infringing, fake, duplicate, spurious, defective or counterfeit, refurbished, expired products purchased by buyer or during shiiping and lotus dairy shall not assume any liability if the product purchased or availed by buyer is not exactly as per specifications detailed in the purchase confirmation order.

Lotus Dairy is in no way responsible or liable for the offer for sale of the Product to the Buyer, its delivery, the warranty terms (if any) related to the Product and the return, refund or cancellation of purchase of any Products.

For Your making payments for buying the Products on the Website, in addition to the Agreement(s), the terms and conditions of Your bank, applicable financial institution and/or card issuing association may also be applicable to You. Payment Facility for Your orders: LOTUS DAIRY may from time to time contract with third party payment service providers including banks to open nodal bank account under applicable Indian laws, to facilitate the payment between Users i.e. buyers and LOTUS DAIRY for the fees and other charges. These third party payment service providers may include third party banking or credit card payment gateways, payment aggregators, pre-paid instruments, cash on delivery or demand draft / pay order on delivery service providers, mobile payment service providers or through any facility as may be authorized by the Reserve Bank of India for collection, refund and remittance, as the case may be of payment or supporting the same in any manner. 2. Multiple orders placed for same product at the same address;

3. Bulk quantity of the same product ordered;

4. Invalid address given in order details; or

5. Any malpractice used to place the order.

There may be certain orders that LOTUS DAIRY is unable to process or pass on to the third party and must cancel. Some situations that may result in LOTUS DAIRY's inability to process buyer's order include, without limitation, non- availability of the Website service, force majeure, credit limitations or suspected fraud.

In case buyer purchases multiple Products in one transaction, we may deliver all such Products together. However, this may not always be possible. If buyer purchases multiple Products in a single transaction, then all the Products would be dispatched to a single delivery address provided by buyer at the time of purchase. If buyer wishes to get delivery of the Products to different addresses, then buyer should purchase the Products under separate transactions and provide separate delivery addresses for each transaction, as may be required. Buyer agrees that the delivery of the Products can be made to the person who is present at the shipping address provided by You.

In certain cases, where buyer requires certain services in relation to a Product, such as replacement, after-sales or other related services, buyer shall directly contact Lotus Dairy. Notwithstanding anything to contrary in the Agreement(s), LOTUS DAIRY's entire and aggregate liability to You under and in relation to these Terms of Use or otherwise shall not exceed the greater of Indian Rupees One Hundred (INR 100) or the amount of fees, if any, paid by You to LOTUS DAIRY under the relevant order to which the cause of action for the liability relates.

Notwithstanding anything to contrary in the Agreement(s), in no event shall LOTUS DAIRY, its subsidiaries or affiliates and their respective officers, directors, employees, partners or suppliers be liable to You for any special, incidental, indirect, consequential, exemplary or punitive damages whatsoever, including those resulting from loss of use, data or profits, whether or not foreseeable or whether or not LOTUS DAIRY has been advised of the possibility of such damages, or based on any theory of liability, including breach of contract or warranty, negligence or other tortious action, or any other claim arising out of or in connection with Your use of or access to the Website, Services or Content.

Terms

The Agreement will continue to apply until terminated by either You or LOTUS DAIRY as set forth below. LOTUS DAIRY has elected to discontinue, with or without reason, access to the Website, the Services (or any part thereof); or
In the event LOTUS DAIRY faces any unexpected technical issues or problems that prevent the Website and / or Services from working.

Severability: If, for any reason, a court of competent jurisdiction finds any provision of the Agreement, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect to the intent of the parties as reflected by that provision, and the remainder of the Agreement shall continue in full force and effect. As an abundant caution, it is clarified that LOTUS DAIRY shall not have any right to conclude any contract for sale or purchase of Products for and / or on Your behalf and both You and LOTUS DAIRY have entered this agreement on principal to principal basis.

Force Majeure: If performance of any service or obligation under these Terms of Use or other Agreement by LOTUS DAIRY is, or other third parties in fulfillment of any purchase or sale transaction (for eg: logistics service provider, payment gateways etc.) are, prevented, restricted, delayed or interfered with by reason of labor disputes, strikes, acts of God, floods, lightning, severe weather, shortages of materials, rationing, utility or communication failures, earthquakes, war, revolution, acts of terrorism, civil commotion, acts of public enemies, blockade, embargo or any law, order, proclamation, regulation, ordinance, demand or requirement having legal effect of any government or any judicial authority or representative of any such government, or any other act whatsoever, whether similar or dissimilar to those referred to in this clause, which are beyond the reasonable control of LOTUS DAIRY or its third parties performing such services as sub-contractor to LOTUS DAIRY and could not have been prevented by reasonable precautions (each, a "Force Majeure Event"), then LOTUS DAIRY shall be excused from such performance to the extent of and during the period of such Force Majeure Event. LOTUS DAIRY shall exercise all reasonable commercial efforts to continue to perform its obligations hereunder.

Feedback and Information

To serve the socially and economically weak, disadvantaged, underprivileged, & destitute sections of the Society regardless of age, class, colour, culture, disability, ethnicity, structure, gender, marital status, nationality origin, race or religion with intention to make the group or individual self dependent and live life more meaningfully. To extend humanitarian services in the community to further enhance the quality of life like health facilities, education, basic infrastructure facilities to areas, which have so far not been attended to. To generate, through its CSR initiatives, a community goodwill for Lotus and help reinforce a positive & socially responsible image of Lotus as a corporate entity.

4. Activities under Corporate Social Responsibility
Lotus would endeavor to adopt an integrated approach to address the community, societal & environmental concerns by taking up projects or programs as allowed under Schedule VII of the Companies Act, 2013 read with Section 135 of the Companies Act, 2013 and the Companies (Corporate Social Responsibility Policy) Rules, 2014.

5. Locations/ Geography of CSR Activities
The CSR activities will be primarily taken up in the State / District of Lotus offices. Apart from these areas, CSR activities may also be taken up in urban, rural and tribal communities, wherein social engagement by Lotus is warranted as per needs assessment.

6. Undertaking CSR activities
The CSR activities will be carried out either by Lotus itself or through or any other Not for Profit Organizations, which have established track record of services, performance and accountability (collectively hereafter referred to as "Partnering Organizations").

7. Implementation Mechanism
While identifying the CSR activities, Lotus and Partnering Organization would consider the following broad parameters while selection of projects or programs:

7.1 Preference could be given to the local areas and States where Lotus has its offices.

7.2 CSR activities could be undertaken as projector program rather than in the form of donation, so as to create social impact and visibility.

8. Budget for CSR activities

8.1 The CSR Committee shall, after the end of each financial year, recommend to the Board, the amount of expenditure to be incurred on the CSR activities.

8.2 The amount of such expenditure shall not be less than 2% of the Average Net Profits of Lotus made during the three immediately preceding financial years.

8.3 Lotus may build CSR capacities of its own personnel as well as those of their implementing Partnering Organizations but such expenditure shall not exceed 5% of the total CSR expenditure of the Company in one financial year.

8.4 All administrative expenses including expenditure on wages and salaries, tours and travels, training and development of personnel deputed on CSR activities would be included in the amount of expenditure to be incurred on CSR activities.

8.5 The expenditure on CSR activities shall include all expenditure on projects or programs relating to CSR activities, but does not include any expenditure on an item not in conformity or not in line with CSR activities.

8.6 CSR Committee will arrive at the focus areas, set priorities, and define the profile of the partnering organization and the territory of activities on which the approved budget will be based. The Managing Director of Lotus would be authorized to allocate funds for different projects on the basis of identified CSR plans on yearly basis.

9. Monitoring Process of CSR Policy

9.1 A group of members at Corporate Office would be identified for coordinating CSR activities and related responsibilities.

9.2 The implementation and progress of CSR activities shall be regularly monitored by Lotus management, preferably on a quarterly basis.

9.3 The CSR Policy shall be reviewed and activities monitored by the CSR Committee from time to time.

9.4 The CSR Committee would also provide feedback and inputs to formulate and improve the projects or programs, from time to time, as per need and requirement.

10. Reporting

10.1 Yearly report on activities/ projects identified/ implemented shall be submitted to CSR Committee.

10.2 The Board of Directors of Lotus will also be kept informed, from time to time, on the CSR activities undertaken by Lotus.

10.3 Based on the monitoring reports, the activities undertaken by Lotus will form part of the Board’s Annual Report of Lotus.

11. General

11.1 The surplus arising out of CSR projects or programs shall not form part of the business profits of Lotus.

11.2 Any amendment or modification to the CSR Policy shall be approved by the Board on the recommendation of CSR Committee.

12. Modification of policy

The Board of Director of company provide for periodical review of the compliance at various levels of management. A consolidate report of such reviews (if required) may be submitted to the Board at regular intervals, as may be prescribe by it.

The Company reserves to itself the right to alter/ delete/ add to these codes at any time without prior individual notice and such alterations/ deletion/ addition shall be binding.
